These Terms and Conditions of Service (the "Terms and Conditions") govern your access to and use of Eliksir, including the website at eliksir.ai, the application at app.eliksir.ai, and related services, features, software, and content we make available through them (together, the "Service").
Eliksir is a service operated by Alberto Olias Ibor (hello@eliksir.ai) and offered to the user ("you" and "your" mean the person or entity using the Service).
By creating an account, accessing, or using the Service, you agree to these Terms and Conditions. If you do not agree, do not use the Service.
1. Definitions
In these Terms and Conditions:
- "Account" means your Eliksir user account.
- "Credits" means the usage units that may be included with a subscription, granted by us, or purchased through the Service and then applied to eligible usage of the Service.
- "Final Export" means the final paid render action or final export workflow made available through the Service.
- "Inputs" means any content, files, prompts, scripts, lyrics, creative instructions, metadata, or other materials that you upload, submit, enter, or otherwise make available through the Service.
- "Outputs" means any videos, images, scripts, prompts, text, metadata, or other materials generated or returned by the Service in response to Inputs or use of the Service.
- "Paid Actions" means paid render actions and other usage paths that require active subscription entitlement, which may include Style Check, Final, and Add Credits / top-up purchases, as specified in the product at the time of use.
- "Service" means the Eliksir website, application, and related services, features, software, and content made available by us.
- "Storyboard" means the storyboard-generation workflow or storyboard output made available in the Service before later render stages.
- "Style Check" means the paid preview-generation or style-check render workflow made available through the Service.
- "Subscription" means a recurring paid plan that grants access to eligible Paid Actions and any associated benefits described in the Service at the time of purchase or use.
- "Terms and Conditions" means these Terms and Conditions of Service.
- "you" and "your" mean the person or entity using the Service.
2. Who may use the Service
You may use the Service only if:
- you are legally capable of entering into a binding agreement with us;
- you are at least the age of majority where you live, or you have any legally required permission to use the Service and enter into these Terms and Conditions; and
- your use of the Service complies with applicable law and these Terms and Conditions.
If you use the Service on behalf of a company, label, studio, agency, or other organization, you represent that you have authority to bind that organization to these Terms and Conditions.
3. What Eliksir is
Eliksir is a creative software service that helps users turn music and creative direction into audiovisual outputs. The Service may include, among other things:
- project creation and file upload;
- track analysis;
- script or treatment development with AI assistance;
- storyboard generation;
- style-check preview generation;
- final video generation;
- billing, credits, and related account tools.

The Service relies in part on third-party infrastructure, payment providers, authentication providers, and AI/model providers. Features, capabilities, and outputs may change over time.
4. Accounts and account security
You are responsible for:
- providing accurate account information;
- maintaining the confidentiality of your login credentials;
- all activity that occurs under your account; and
- notifying us promptly if you believe your account has been used without authorization.
You may not share access credentials in a way that circumvents intended seat, account, security, billing, or usage controls.
5. Plans, subscriptions, credits, and billing
5.1 Paid actions and subscription-gated access
At launch, Eliksir is designed to allow meaningful pre-subscription exploration while requiring an active qualifying subscription for paid render actions.
This means that, unless we explicitly state otherwise in the product at the time of use:
- you may be able to create an account, create a project, upload a track, explore the creative workflow, and use limited storyboard functionality before subscribing; but
- Style Check (video preview), Final (final video generation), and Add Credits (purchase of additional credits) require an active qualifying subscription.
We may change plan structure, packaging, limits, or access rules prospectively.
5.2 Credits
The Service may use credits or similar usage units. Credits are an internal usage mechanism for the Service. Unless required by law:
- credits are not cash;
- credits are not a bank account, deposit, or stored-value account;
- credits are not redeemable for money; and
- credits may expire if we state an expiry period when they are granted, sold, or included with a subscription.

If a credit expiry period applies, it will be shown in the product, purchase flow, plan terms, or other service documentation. At launch, certain credit grants may expire 12 months after issuance unless we state otherwise.
Credit expiry, if applicable, will be shown before purchase or grant. Different credit types may have different expiry periods.
5.3 Fees and taxes
You agree to pay all applicable fees, charges, and taxes associated with your use of paid features of the Service.
Unless we expressly state otherwise, listed prices are exclusive of taxes, duties, levies, or similar government charges. You are responsible for any taxes that apply to your purchase or use of the Service, except taxes based on our net income.
5.4 Renewals, plan changes, and cancellation
If you purchase a subscription, it may renew automatically until canceled, unless the applicable purchase flow or plan terms state otherwise.
You can cancel future renewals through the billing tools we provide or by following the instructions in your billing portal. Cancellation stops future recurring charges, but does not automatically entitle you to a refund for time already billed, except where required by law or where we expressly provide otherwise.
We may change pricing, plans, included credits, or usage rules prospectively. Changes will not apply retroactively to amounts already paid, except as required to process taxes, comply with law, address abuse, or correct clear errors.
5.5 Refunds
Our refund handling may depend on the reason for the request and the billing event involved.
As a general rule:
- technical or system failures may be handled through reruns, credits adjustment, or refunds, as appropriate;
- dissatisfaction with a successfully completed generation does not automatically entitle you to a refund;
- duplicate charges, incorrect settlements, or clearly erroneous billing may be corrected by us.
Any additional refund terms shown in the Service or purchase flow are incorporated into these Terms and Conditions.
Nothing in this refund section limits any refund, cancellation, withdrawal, or other right you may have under mandatory consumer law.
6. Pre-subscription exploration and storyboard limits
We may allow limited use of selected features before a subscription is purchased. That pre-subscription access exists to let users understand the workflow, not to provide an unlimited free tier.
At launch, this may include storyboard access subject to product-enforced limits. Unless we state otherwise in-product, the storyboard experience for unsubscribed users is intended to be limited and may include:
- a per-project cap on storyboard runs; and
- a requirement that a later storyboard run must follow a meaningful script or direction revision rather than a blind repeat.
We may change these limits prospectively.
7. Your inputs, content, and rights responsibilities
7.1 Your Inputs
You may upload or submit content to the Service, including audio tracks, lyrics, prompts, scripts, creative instructions, images, text, metadata, brand references, names, likenesses, and other materials (together, your "Inputs").
You are solely responsible for your Inputs and for the consequences of using them with the Service.
7.2 Rights and permissions
You represent and warrant that you have all rights, permissions, licenses, consents, and legal authority needed to submit and use your Inputs in connection with the Service.
This includes, where relevant, rights relating to:
- music and audio recordings;
- musical compositions and publishing rights;
- lyrics and text;
- artwork, images, and footage;
- names, voices, likenesses, and performances;
- trademarks, brands, trade dress, and logos; and
- locations, properties, or other protected subject matter.
You must not use the Service with any content you do not have the right to use.
7.3 License to us
You grant us and our service providers a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, modify, adapt, transform, and otherwise process your Inputs and resulting outputs as reasonably necessary to:
- provide, operate, secure, and maintain the Service;
- process generations;
- store and serve project files and outputs;
- troubleshoot, debug, monitor, and prevent abuse;
- provide support; and
- improve the reliability and quality of the Service.
We do not use your private Inputs to train our own general-purpose AI models unless we separately ask for and receive your consent.
This license lasts for as long as reasonably necessary for those purposes, subject to our retention practices and your legal rights.
8. Prohibited and restricted uses
You may not use the Service, or allow others to use the Service through your account, in any way that:
- violates any applicable law, regulation, court order, or third-party right;
- infringes, misappropriates, or otherwise violates intellectual property, privacy, publicity, data protection, or other rights;
- uses content without the required rights, permissions, or consents;
- depicts, promotes, or facilitates child sexual abuse material, exploitation of minors, grooming, or sexualized content involving minors;
- depicts or promotes sexual violence, exploitative sexual content, incest, bestiality, or similar abusive material;
- promotes or facilitates hate, violent extremism, terrorism, harassment, abuse, or targeted degradation of individuals or groups;
- creates deceptive impersonations of real people, brands, organizations, or public bodies without authorization or legal right;
- creates misleading, fraudulent, defamatory, or malicious content, including scams, phishing, spam, or disinformation;
- attempts to infer, extract, or misuse personal data, confidential information, or hidden training or provider data;
- bypasses, disables, probes, or interferes with service safeguards, moderation systems, rate limits, entitlement controls, or security features;
- uses the Service or any outputs to develop, train, fine-tune, benchmark, or improve competing AI, machine-learning, or generative media systems;
- makes the underlying model or Service available as a service bureau, resale utility, white-label raw model access product, or similar pass-through service; or
- uses the Service in a way that is unsafe, abusive, deceptive, or likely to cause harm.
We may investigate suspected violations and may block, suspend, remove, refuse, or report content or activity where appropriate.
9. Outputs, review obligations, and no clearance guarantee
The Service may generate videos, images, scripts, prompts, text, metadata, or other materials (together, "Outputs").
AI-generated outputs are probabilistic and may be imperfect. You are responsible for reviewing Outputs before publishing, distributing, selling, licensing, or otherwise relying on them.
You acknowledge and agree that:
- Outputs may not be unique;
- similar or identical outputs may be generated for other users;
- Outputs may contain inaccuracies, artifacts, or unwanted elements;
- Outputs may reflect limitations in the underlying models or source materials;
- Eliksir does not guarantee that any Output is free from third-party rights claims, legal risk, or policy concerns; and
- Eliksir does not guarantee universal commercial clearance, exclusivity, non-infringement, or suitability for any particular purpose.
If you use Outputs commercially, publicly, or in connection with a release, campaign, label, brand, client, or monetized project, you remain responsible for obtaining any additional review, legal advice, releases, licenses, or clearances that may be required.
10. Intellectual property
10.1 Our rights
We and our licensors retain all rights, title, and interest in and to the Service, including all software, interfaces, branding, design, workflows, documentation, and underlying technology, other than rights we expressly grant to you in these Terms and Conditions.
10.2 Your rights in Inputs
As between you and us, you retain whatever rights you have in your Inputs.
10.3 Your use of Outputs
Subject to:
- your compliance with these Terms and Conditions;
- payment of applicable fees;
- applicable law; and
- any third-party provider or platform restrictions that may apply,
As between you and Eliksir, and to the extent we have any transferable rights in Outputs generated specifically for your project, we do not claim ownership of those Outputs. Subject to your compliance with these Terms and Conditions, payment of applicable fees, applicable law, and any third-party provider restrictions, you may use those Outputs for personal or commercial purposes.
However, Eliksir does not represent or warrant that Outputs are copyrightable, exclusive to you, enforceable against third parties, or free of third-party claims.

11. Feedback
If you send us suggestions, ideas, comments, bug reports, or other feedback about the Service, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, copy, modify, and incorporate that feedback for any purpose, without compensation to you.
12. Availability, changes, and beta characteristics
The Service is evolving. We may add, remove, suspend, or change features, plans, providers, integrations, limits, workflows, or technical requirements at any time.
We do not guarantee uninterrupted or error-free availability of the Service, or that any feature will continue to be offered in the same form.
Some features may remain experimental, preview, or beta-like even if not labeled as such.
13. Suspension and termination
We may suspend, restrict, or terminate your access to some or all of the Service, with or without notice where appropriate, if:
- you violate these Terms and Conditions;
- your use creates legal, security, abuse, or operational risk;
- payment fails or your subscription lapses for paid features;
- we are required to do so by law, court order, or provider requirements; or
- continued access would reasonably expose us, our users, or our service providers to harm.
You may stop using the Service at any time. If you want your account deleted, contact us or use any deletion tools we make available.
Termination or suspension does not affect any accrued rights, payment obligations, or provisions of these Terms and Conditions that by their nature should survive.
14. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available".
We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment.
In particular, we do not warrant that:
- the Service will be uninterrupted, timely, secure, or error-free;
- Outputs will be accurate, complete, lawful, non-infringing, commercially usable, or suitable for your intended purpose;
- the Service will always be available with any specific third-party provider, model, or integration; or
- issues will be corrected within any specific timeframe.
Nothing in these Terms and Conditions excludes any warranty or right that cannot be excluded under applicable law.
15. Limitation of liability
To the maximum extent permitted by law:
- we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or opportunity;
- we will not be liable for third-party claims arising from your Inputs, your Outputs, your use of the Service, or your breach of these Terms and Conditions; and
- our total aggregate liability for all claims arising out of or relating to the Service or these Terms and Conditions will not exceed the greater of:
- the amount you paid us for the Service in the 12 months before the event giving rise to the claim; or
- EUR 100.
These limitations apply regardless of the legal theory of the claim and even if a remedy fails of its essential purpose, except to the extent prohibited by law.
16. Indemnity
You agree to defend, indemnify, and hold harmless Eliksir, its operator, affiliates, service providers, and their respective personnel from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- your Inputs;
- your use of the Service or Outputs;
- your violation of these Terms and Conditions; or
- your violation of any law or third-party rights.
17. Governing law and disputes
These Terms and Conditions are governed by the laws of the Republic of Poland without regard to conflict-of-laws principles.
The courts located in Warsaw, Poland will have exclusive jurisdiction over disputes arising out of or relating to these Terms and Conditions or the Service, unless mandatory consumer law gives you the right to bring a claim elsewhere.
If you are a consumer and mandatory law in your country gives you rights that cannot be limited by this clause, those rights remain unaffected.
18. Changes to these Terms and Conditions
We may update these Terms and Conditions from time to time. If we make material changes, we may provide notice by posting the updated Terms and Conditions on the website or in the Service, or by other reasonable means.
The updated Terms and Conditions become effective when posted or on the effective date stated in them. If you continue to use the Service after the updated Terms and Conditions take effect, you agree to the revised Terms and Conditions.
